Acceptable Use Policy

This Acceptable Use Policy (the "AUP" or "Policy") governs your access to and use of the software, applications, websites, application programming interfaces, the Amend AI assistant ("Mend"), and all related products and services (collectively, the "Service") offered by Amend Solutions ("Amend," "we," "us," or "our"). This Policy is incorporated by reference into, and forms a part of, the Amend Terms of Service (the "Terms"). Capitalized terms used but not defined here have the meanings given to them in the Terms.
By accessing or using the Service, you and every user, employee, contractor, or agent you authorize to use the Service on your behalf (each, a "user" or "you") agree to comply with this Policy. Violation of this Policy is a material breach of the Terms. We may investigate any suspected violation and, in our sole discretion and without prior notice, remove or disable content, throttle or restrict access, and suspend or terminate your account and any related accounts. Suspension or termination for a violation of this Policy does not entitle you to any refund of prepaid or unused fees.
1. Prohibited Content
You may not upload, store, post, transmit, generate, distribute, or otherwise make available through the Service any content that:
- Is unlawful, or that promotes, facilitates, or provides instructions for any unlawful activity;
- Infringes or misappropriates any patent, trademark, trade secret, copyright, right of publicity, or other intellectual property or proprietary right of any party;
- Is defamatory, libelous, slanderous, or trade libelous;
- Is harassing, threatening, abusive, bullying, or that promotes or incites violence against any person or group;
- Is obscene, pornographic, sexually explicit, or that sexually exploits or endangers minors in any way;
- Is hateful or that discriminates against, denigrates, or promotes hatred toward any individual or group based on race, ethnicity, national origin, religion, disability, gender, gender identity, sexual orientation, age, or any other protected characteristic;
- Is deceptive, fraudulent, misleading, or intended to impersonate any person or entity or misrepresent your affiliation with any person or entity;
- Contains software viruses, worms, Trojan horses, ransomware, spyware, or any other malicious code, files, or programs designed to interrupt, damage, destroy, or limit the functionality of any software, hardware, data, or telecommunications equipment.
2. Prohibited Activities
You may not, and may not permit or encourage any third party to, use the Service to:
- Probe, scan, penetration-test, or otherwise test the vulnerability of the Service or any related system or network, or breach, circumvent, or defeat any security, authentication, rate-limiting, or usage-limit measure, without our prior express written authorization;
- Gain or attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service, whether through hacking, password mining, credential stuffing, or any other means;
- Overload, flood, spam, or crash the Service, or conduct or facilitate any denial-of-service (DoS) or distributed denial-of-service (DDoS) attack, or otherwise interfere with or disrupt the integrity, performance, or availability of the Service or the data it contains;
- Access, scrape, harvest, index, or collect data from the Service through any automated means (including bots, spiders, crawlers, or scripts) or otherwise engage in automated or bulk access not expressly permitted through our published APIs and within their documented limits;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive or discover the source code, underlying ideas, algorithms, models, file formats, or non-public structure of the Service, except to the limited extent this restriction is prohibited by applicable law;
- Rent, lease, sell, sublicense, resell, distribute, timeshare, or operate a service bureau or similar offering based on the Service, or otherwise make the Service available to any third party, except as expressly authorized in a written agreement with us;
- Share, transfer, or disclose your account credentials or access tokens, or permit any person other than the authorized user to access the Service under your credentials;
- Remove, obscure, or alter any proprietary notices, branding, or attributions on or within the Service, or misrepresent the source or ownership of the Service.
3. Misuse of Mend and AI Features
Mend and other AI-powered features are provided to help you run your business. You are responsible for your use of them and for any output you rely on or distribute. You may not:
- Use Mend or any AI feature to generate, facilitate, or promote content or activity that is unlawful, deceptive, fraudulent, harmful, harassing, hateful, or otherwise prohibited under this Policy;
- Attempt to extract, reconstruct, or reverse engineer any underlying model, model weights, training data, system prompts, instructions, guardrails, or safety mechanisms, or attempt to bypass, jailbreak, or circumvent any operational, safety, or content limitation of the AI features;
- Use the outputs of the Service, or the Service itself, to train, fine-tune, develop, benchmark, or improve any competing artificial intelligence model, product, or service, or to build any product or service that competes with the Service;
- Subject the AI features to automated, high-volume, or abusive querying designed to overload the Service, evade usage limits, or extract data or model behavior at scale;
- Present AI-generated output as professional, legal, financial, safety, engineering, medical, or other expert advice.
AI output may be inaccurate or incomplete. You are solely responsible for reviewing, verifying, and validating any output before relying on or acting upon it.
4. Communications, Email, and Anti-Spam
The Service may enable you to send emails, text/SMS messages, notifications, and other communications to your own customers and contacts. You are solely responsible for the content of those communications, for obtaining all required consents, and for compliance with all applicable laws, including the U.S. CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, and all applicable state telemarketing, calling, and text-messaging laws. You agree that you will:
- Only send communications to recipients from whom you have obtained all legally required consent, and maintain records of that consent;
- Not send unsolicited bulk or commercial messages ("spam") of any kind through the Service;
- Honor all opt-out, unsubscribe, and do-not-contact requests promptly, and provide a functioning means for recipients to opt out;
- Accurately identify yourself as the sender and not use false, deceptive, or misleading header information, subject lines, or sender identities;
- Comply with any applicable calling-time restrictions, registration requirements, and disclosure obligations.
You will indemnify and hold Amend harmless from any claim arising out of communications you send through the Service. We may throttle, suspend, or terminate messaging capabilities to protect the deliverability, reputation, and integrity of the Service.
5. Data and Privacy Responsibilities
As between you and Amend, you own and control the data you and your users submit to the Service ("Customer Data"), and you act as the controller of that Customer Data. You are responsible for the accuracy, quality, legality, and appropriateness of Customer Data and for obtaining all rights, consents, and permissions necessary to submit it and to have it processed by the Service. You agree that you will not:
- Upload, store, or process any data that you do not have the lawful right to use, share, or have processed on your behalf;
- Upload the personal, sensitive, or confidential information of any individual or third party in violation of applicable privacy or data-protection law, or without a lawful basis and any required consent;
- Use the Service to process categories of highly sensitive data for which the Service is not designed or represented (for example, government-issued identification numbers, full payment-card data outside our supported payment integrations, or protected health information) unless we have expressly agreed in writing to support such use.

6. No High-Risk or Safety-Critical Use
The Service is a general business, operations, and productivity platform. It is not designed, intended, tested, or authorized for use in any circumstance where the failure, error, delay, or inaccuracy of the Service (including any AI output) could lead to death, personal injury, or severe physical, environmental, or property damage. You must not use the Service, and must not rely on the Service or its output as the sole or primary basis, for:
- The operation or control of hazardous or life-critical systems, emergency response, medical diagnosis or treatment, or life-support applications;
- Structural, engineering, electrical, mechanical, or other safety determinations where an error could cause bodily harm or catastrophic damage;
- Any decision required by law to be made by a licensed professional, or any safety-critical decision, without independent professional review and verification.
You assume all risk arising from any high-risk use, and Amend disclaims all liability to the maximum extent permitted by law for any such use.
7. Fair Use of Resources and Storage
The Service, including any file storage or "Drive" functionality, is provided to support the ordinary operation of your business on the Service. You must operate within the storage, bandwidth, message, API-call, seat, and other limits of your subscription plan. You may not:
- Use the storage features as a general-purpose backup target, media/file-hosting service, content-distribution network, or archive for data unrelated to your use of the Service;
- Store or distribute pirated software, unlicensed media, "warez," or other infringing or illegal material;
- Consume resources in a manner that is excessive, abusive, or that degrades the Service for other customers, or that is designed to evade plan limits or metering.
We may set, monitor, and enforce reasonable technical limits and may throttle, restrict, or charge for usage that exceeds your plan.
8. Third-Party Services and Integrations
When you connect or use third-party services, integrations, or accounts with the Service, you are responsible for complying with the applicable third-party terms and for any credentials or data you provide. You may not use the Service to violate the terms of any third-party service, to send data to a third party without authorization, or to circumvent any third party's access controls or restrictions.
9. Enforcement
We reserve the right, but assume no obligation, to monitor use of the Service and to investigate any suspected or reported violation of this Policy. In response to an actual or suspected violation, we may, in our sole discretion and with or without notice:
- Remove, disable, quarantine, or restrict access to any content;
- Throttle, rate-limit, or degrade access to any feature or the Service;
- Suspend or terminate the offending user, account, or any related accounts;
- Preserve and disclose information as we reasonably believe necessary to comply with applicable law, regulation, legal process, or governmental request, or to protect the rights, property, or safety of Amend, our users, or the public;
- Report suspected illegal activity to law enforcement or other appropriate authorities and cooperate with any resulting investigation.
The response we choose in any instance does not waive our right to take other action for the same or a future violation. We are not liable for any action taken in good faith to enforce this Policy.
10. Reporting Abuse
If you become aware of any violation of this Policy, any security vulnerability, or any abusive or illegal use of the Service, please report it promptly by emailing [email protected]. Please include enough detail for us to identify and investigate the issue. We appreciate reports made in good faith.
11. Changes to This Policy
We may update this Policy from time to time to reflect changes in our Service, our practices, or applicable law. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after an updated Policy takes effect constitutes your acceptance of the changes.
12. Governing Law and Contact
This Policy is governed by, and construed in accordance with, the governing-law and dispute-resolution provisions of the Terms of Service. This Policy supplements, and does not limit, the Terms; in the event of a conflict between this Policy and the Terms, the Terms control except with respect to the specific acceptable-use matters addressed here.
